SutureVet – Terms & Conditions of Sale (B2B Only – Commercial Version)

1. Company Information

SutureVet is a trading name of:

Astflick Group Ltd

All intellectual property and branding are owned by Astflick Holdings Ltd and licensed to Astflick Group Ltd.

2. Business Customers Only

SutureVet supplies strictly to business customers.

By placing an order, you confirm:

  • You are acting in the course of business
  • You are not a consumer

Consumer legislation including the
Consumer Contracts Regulations 2013
does not apply.

We reserve the right to:

  • Cancel orders where consumer purchase is suspected
  • Request business verification

3. Entire Agreement

These Terms:

  • Override any customer terms or purchase conditions
  • Apply to all orders unless expressly agreed in writing

4. Orders & Contract Formation

  • Orders are irrevocable and binding once placed
  • A contract is formed upon:
    • Order confirmation, or
    • Dispatch of goods

We may:

  • Refuse or cancel orders
  • Amend pricing errors
  • Limit supply quantities

5. Pricing & Payment

  • All prices are exclusive of VAT unless stated
  • Payment must be made prior to dispatch unless credit is approved

Credit Accounts

Where credit is granted:

  • Payment terms: 30 days from invoice date (strict)
  • Time for payment is of the essence

We reserve the right to:

  • Withdraw credit facilities at any time
  • Place accounts on hold without notice

6. Late Payment & Debt Recovery

In the event of late payment, we shall:

  • Charge interest under the
    Late Payment of Commercial Debts (Interest) Act 1998
    (8% above Bank of England base rate)
  • Apply fixed statutory compensation:
    • £40 / £70 / £100 depending on debt value
  • Recover:
    • All legal costs
    • Debt collection fees
    • Enforcement costs

We reserve the right to:

  • Suspend supply
  • Cancel outstanding orders
  • Demand immediate payment of all outstanding balances

7. Personal Guarantee (Credit Accounts)

Where goods are supplied on credit:

  • Directors / owners may be required to provide a personal guarantee
  • The guarantor agrees to:
    • Be jointly and severally liable
    • Indemnify Astflick Group Ltd against all losses

8. Retention of Title (ROT)

  • Goods remain the property of Astflick Group Ltd until paid in full

We reserve the right to:

  • Enter customer premises to recover goods
  • Remove or disable products where applicable

Customer must:

  • Store goods separately
  • Not resell or alter goods until ownership transfers

9. Delivery & Risk

  • Delivery timeframe: 3–5 working days (estimate only)
  • Risk passes upon delivery

Deemed Delivery Clause

Goods shall be deemed delivered:

  • Upon signed delivery
  • OR courier confirmation
  • OR attempted delivery

Failure to receive goods does not negate payment obligations.

10. Inspection & Acceptance

Customers must:

  • Inspect goods immediately upon delivery
  • Report issues within 48 hours

Failure to do so:

  • Constitutes full acceptance of goods
  • Waives any right to reject

11. Returns (Strict B2B Policy)

  • No returns accepted for:
    • Change of mind
    • Incorrect ordering
    • Over-purchasing

Returns only accepted if:

  • Goods are faulty or incorrect
  • Reported within 48 hours
  • Unused and in original packaging

All returns require written authorisation.

12. Product Use & Liability Disclaimer

SutureVet products are supplied for:

  • Professional veterinary, laboratory, and training use only

We accept no liability for:

  • Clinical outcomes
  • Improper use
  • User error

Customer is responsible for:

  • Suitability assessment
  • Safe and compliant use

13. Limitation of Liability

To the fullest extent permitted by law:

  • We exclude all:
    • Indirect losses
    • Loss of profit
    • Loss of contracts or business
  • Total liability is limited to:
    • The value of goods supplied

No liability for:

  • Training results
  • Clinical decisions
  • Third-party use

14. Call-Off Orders & Stock Holding

Where goods are:

  • Ordered in advance
  • Allocated or held

They are:

  • Considered sold and non-cancellable
  • Payable in full

We may:

  • Charge storage fees (if applicable)
  • Release stock if payment not made

15. Force Majeure

We are not liable for failure or delay caused by:

  • Supply chain disruption
  • War or geopolitical events
  • Transport failure
  • Raw material shortages

16. Intellectual Property

All:

  • Branding
  • Product data
  • Images

Remain the property of Astflick Holdings Ltd.

Unauthorised use is prohibited.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of:

  • England and Wales

All disputes shall be resolved exclusively in:

  • The courts of England and Wales

18. Enforcement

We reserve the right to:

  • Issue legal proceedings without further notice
  • Enforce debts via:
    • County Court Judgment (CCJ)
    • High Court Enforcement Officers (HCEO)
