🏥 2. Business Customers Only

SutureVet supplies strictly to business customers.

By placing an order, you confirm:

• You are acting in the course of business
• You are not a consumer
• Consumer legislation, including the Consumer Contracts Regulations 2013, does not apply

We reserve the right to:

• Cancel orders where consumer purchase is suspected
• Request business verification

📄 3. Entire Agreement

These Terms:

• Override any customer terms or purchase conditions
• Apply to all orders unless expressly agreed in writing

🛒 4. Orders & Contract Formation

• Orders are irrevocable and binding once placed
• A contract is formed upon order confirmation or dispatch of goods

We may:

• Refuse or cancel orders
• Amend pricing errors
• Limit supply quantities

💷 5. Pricing & Payment

• All prices are exclusive of VAT unless stated
• Payment must be made prior to dispatch unless credit is approved

Credit Accounts

Where credit is granted, payment terms are strictly 30 days from invoice date. Time for payment is of the essence.

We reserve the right to:

• Withdraw credit facilities at any time
• Place accounts on hold without notice

⚠️ 6. Late Payment & Debt Recovery

In the event of late payment, we may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate.

We may also recover:

• Fixed statutory compensation of £40, £70 or £100 depending on debt value
• Legal costs
• Debt collection fees
• Enforcement costs

We reserve the right to:

• Suspend supply
• Cancel outstanding orders
• Demand immediate payment of all outstanding balances

👤 7. Personal Guarantee (Credit Accounts)

Where goods are supplied on credit, directors, owners or authorised representatives may be required to provide a Personal Guarantee.

The guarantor agrees to:

• Be jointly and severally liable for all outstanding balances
• Indemnify Astflick Group Ltd against all losses, costs and expenses
• Remain liable until all debts have been paid in full

📦 8. Retention of Title (ROT)

All goods remain the property of Astflick Group Ltd until payment has been received in full.

We reserve the right to:

• Recover unpaid goods
• Enter customer premises where legally permitted
• Remove or disable products where applicable

Customers must:

• Store goods separately
• Keep goods clearly identifiable
• Not alter or resell goods until ownership transfers

🚚 9. Delivery & Risk

• Typical delivery estimate is 3–5 working days
• Delivery dates are estimates only
• Risk transfers upon delivery

Deemed Delivery

• Signed delivery
• Courier confirmation
• Attempted delivery notice

Failure to receive goods does not remove the customer's obligation to pay.

🔎 10. Inspection & Acceptance

Customers must inspect all goods immediately upon delivery.

Any shortages, damage or discrepancies must be reported within 48 hours.

Failure to notify us within this period constitutes:

• Full acceptance of the goods
• Waiver of any right to reject the goods
• Acceptance that the order has been supplied correctly

↩️ 11. Returns (Strict B2B Policy)

Returns are not accepted for:

• Change of mind
• Incorrect ordering
• Over-purchasing
• Products no longer required

Returns are only considered where:

• Goods are faulty or supplied incorrectly
• Reported within 48 hours
• Unused and in original packaging
• Written authorisation has been issued by SutureVet

🩺 12. Product Use & Liability

Products supplied by SutureVet are intended exclusively for professional veterinary, laboratory and educational use.

We accept no liability for:

• Clinical outcomes
• Improper use
• User error
• Incorrect product selection

Customers are responsible for ensuring products are suitable, safe and used in accordance with all applicable regulations and professional guidance.

⚖️ 13. Limitation of Liability

To the fullest extent permitted by law, Astflick Group Ltd excludes all liability for indirect or consequential losses arising from the use or supply of products.

This includes, but is not limited to:

• Loss of profit
• Loss of revenue
• Loss of business
• Loss of contracts
• Loss of goodwill
• Business interruption

Our total liability shall never exceed the purchase price of the goods supplied.

We accept no liability for:

• Clinical outcomes
• Training results
• Third-party use
• Professional judgement or decisions

📦 14. Call-Off Orders & Stock Holding

Where products are:

• Purchased in advance
• Allocated specifically for a customer
• Held in stock awaiting call-off

They are considered:

• Sold
• Reserved exclusively for the customer
• Non-cancellable
• Payable in full under agreed payment terms

We reserve the right to:

• Charge storage fees where appropriate
• Release allocated stock if payment terms are not met

🌍 15. Force Majeure

Astflick Group Ltd shall not be liable for any delay or failure to perform its obligations where caused by circumstances beyond its reasonable control.

Examples include:

• Supply chain disruption
• Transport failures
• War or geopolitical events
• Natural disasters
• Raw material shortages
• Industrial action
• Government restrictions
• Acts of God

© 16. Intellectual Property

All intellectual property relating to SutureVet remains the property of Astflick Holdings Ltd.

This includes:

• Logos
• Brand names
• Website content
• Product descriptions
• Photography
• Graphics
• Technical documentation

Unauthorised copying, reproduction or commercial use is strictly prohibited without prior written permission.

🏛️ 17. Governing Law & Jurisdiction

These Terms and Conditions shall be governed exclusively by the laws of England and Wales.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Courts of England and Wales.

🔨 18. Enforcement

Where payment obligations are not met, we reserve the right to commence legal proceedings without further notice.

Recovery options may include:

• County Court Judgment (CCJ)
• High Court Enforcement Officers (HCEO)
• Debt collection agencies
• Recovery of legal costs and enforcement fees where permitted by law
